1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of the products, services, websites, and applications (collectively, the "Services") provided by SoftWave Telecom LLC and its affiliated companies ("SoftWave Telecom LLC" or "we"). Please read these Terms carefully before using any of the Services. By accessing or using any Service, you agree to be bound by these Terms. If you do not agree to all the Terms, you may not access or use the Services.
2. Eligibility and Acceptance
You must be at least 18 years old to use the Services. By accepting these Terms, you represent and warrant that: (i) you are at least 18 years old; (ii) you have not previously been suspended or removed from the Services; and (iii) your registration and use of the Services comply with all applicable laws and regulations.
3. Services and Policies
SoftWave Telecom LLC may make certain Services available to individuals who register for an account ("Account"). You must provide accurate and complete information and keep it updated. We provide our Services in accordance with our policies as published on our website or within the Services, and you agree to adhere to all applicable policies. We may contact you via phone call, SMS, email or other means using your Account contact information to provide notices regarding the Services, billing/payment issues, promotions or other transactional information.
4. User Content
Some Services may allow you to upload content ("User Content"). You retain ownership of your User Content and grant SoftWave Telecom LLC a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Services. You are solely responsible for your User Content and represent that you have all rights necessary to grant this license. We reserve the right to remove User Content at our discretion.
5. Fees and Payment
Some Services require payment of fees. You agree to pay all applicable fees based on SoftWave Telecom LLC's payment terms. We may change our fees and payment policies by posting updated terms on our websites or within the applicable Services.
6. Use Restrictions and Termination
You agree not to misuse the Services or assist anyone else in doing so. For example, you will not:
- Copy, modify, host, stream, sublicense, or resell any part of the Services
- Access or use any Service in violation of applicable laws
- Upload viruses, spyware or other malicious code
- Violate the rights of others
- Send spam or other unsolicited communications
- Interfere with the proper operation of the Services, or use them for any illegal or unauthorized purpose
If SoftWave Telecom LLC determines, in its sole discretion, that you have violated these Terms, we may temporarily or permanently ban you from the Services without notice, and may block, restrict, disable, suspend or terminate your access at any time in our sole discretion.
7. Disclaimers and Limitations of Liability
The Services and all information, products and other content included in or accessible from the Services are provided on an "as is" and "as available" basis. To the fullest extent permitted under applicable law, SoftWave Telecom LLC disclaims all representations and warranties of any kind, whether express, implied or statutory, regarding the Services. We do not warrant that the Services will be uninterrupted, timely, secure, error-free or free from harmful components, and will not be liable for any direct, indirect, incidental, punitive or consequential damages arising out of your use of the Services.
8. Indemnity
You agree to fully indemnify, defend and hold harmless SoftWave Telecom LLC and its officers, directors, employees and agents from and against any and all claims, damages, obligations, losses, liabilities, costs and expenses arising from: (a) your access to or use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.
9. General Provisions
These Terms constitute the entire agreement between you and SoftWave Telecom LLC relating to their subject matter and supersede any prior version. They do not create any third-party beneficiary rights or any agency, partnership or joint venture. Our failure to enforce a provision is not a waiver of our right to do so later. If any provision is found unenforceable, it will be severed and the remaining Terms remain in full effect. SoftWave Telecom LLC may assign any of its rights and obligations under these Terms. These Terms are governed by the laws of the State of Delaware without regard to conflict-of-law principles, and any dispute will be subject to the exclusive jurisdiction and venue of the state and federal courts located in Delaware.

Acceptable Use Policy (AUP)

General Use Requirements
All clients must use our services only for lawful, legitimate, and authorized purposes. Any use that violates federal, state, or local laws, regulations, or industry standards is strictly prohibited.
Lead Source Requirements
To ensure compliance with TCPA, FCC, and other regulatory frameworks, clients must maintain and provide documented proof of lead opt-in consent upon request.
- Clients must not send traffic to our network from leads that are not fully and legally opted-in.
- We reserve the right to suspend or terminate services without notice to any client who fails to provide adequate proof of opt-in consent for their traffic.
- All opt-in records must be timestamped, verifiable, and stored for a minimum of 12 months (or longer if legally required).
Traffic Integrity and Fraud Prevention
To protect our network and reputation, we have implemented Roboguard and VoiceGuard technology to detect, block, and mitigate robocalls and voice spam, traffic manipulation, call flooding, pump-and-dump schemes, and other fraudulent activity. Clients must:
- Cooperate fully with investigations of suspicious traffic
- Avoid any circumvention of Roboguard, VoiceGuard, or any other fraud-detection tools
- Refrain from transmitting calls through obfuscated or falsified caller ID (i.e., "spoofing")
Prohibited Activities
The following activities are strictly prohibited:
- Transmission of traffic from unverified or non-consenting leads
- Use of autodialers or prerecorded messages without required consent
- Spoofing or misrepresenting caller identity
- Call routing through illegal or unauthorized channels
- Generating artificial traffic or manipulating call detail records (CDRs)
Enforcement and Consequences
Violation of this AUP may result in:
- Immediate suspension or termination of services
- Blacklisting of offending numbers or domains
- Reporting to relevant regulatory authorities
- Legal action and financial liability for damages
Updates to This Policy
We may update this AUP from time to time. Continued use of our services after changes are posted constitutes acceptance of the updated terms.
